Article VII: Officers
The officers of the Foundation shall be a Chair, a Vice Chair, a Treasurer, and a
Secretary.
The officers of the Foundation shall be elected at the annual meeting of the Board
of Directors. Officers shall hold office until their successor has been duly elected
and qualified. Officers shall serve a one-year term and be eligible to serve a second
one-year term if recommended by the Executive Committee and approved by majority vote
at the annual meeting of the Board of Directors.
A vacancy in any office because of death, resignation, removal, disqualification or
otherwise, shall be filled by the Executive Committee for the unexpired portion of
the term.
Each officer shall have the powers and authority and shall perform and discharge the
duties of officers of the same title serving in nonprofit corporations having the
same or similar general purposes and objectives as this corporation.
